By accessing or using any services provided by Botaroid ("Company", "we", "us"), including our AI bot platform, APIs, dashboards, and related documentation (collectively, the "Services"), you ("Client", "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Services. We reserve the right to update these Terms at any time. Continued use of the Services after changes constitutes acceptance of the modified Terms.
Botaroid provides AI-powered automation bots designed for business operations including, but not limited to, customer support, HR processes, financial operations, sales enablement, and workflow automation. Services include:

Fees for the Services are as quoted during the proposal process or as listed on our pricing page. Unless otherwise agreed:
We target 99.9% uptime for all production bot deployments, measured monthly, excluding scheduled maintenance windows. In the event of downtime exceeding this target:
All intellectual property rights in the Services, including software, algorithms, models, documentation, and branding, remain exclusively with Botaroid and its licensors. The Client is granted a limited, non-exclusive, non-transferable, revocable license to use the Services during the term of the agreement.
Custom bot configurations, workflows, and training data created specifically for a Client belong to the Client. However, Botaroid retains ownership of underlying platform technology, frameworks, and general-purpose models used to deliver the Services.
You retain full ownership of all data you submit to or generate through the Services ("Client Data"). We process Client Data solely to provide the Services and in accordance with our Privacy Policy. Specifically:
Each party agrees to maintain the confidentiality of all non-public information received from the other party ("Confidential Information"), including business plans, technical data, customer lists, and pricing. Confidential Information may not be disclosed to third parties without prior written consent, except as required by law or to authorized employees, contractors, or service providers bound by confidentiality obligations at least as protective as those in these Terms. This obligation survives termination for a period of three (3) years.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
You agree to indemnify, defend, and hold harmless Botaroid, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) any data you submit to the Services that infringes third-party rights; or (d) any unauthorized access to the Services through your account.
Either party may terminate the service agreement:
Upon termination: (a) all licenses granted hereunder terminate; (b) the Client must cease all use of the Services; (c) we will securely decommission bot instances; (d) Client Data will be available for export for 30 days. Sections relating to intellectual property, limitation of liability, indemnification, and confidentiality survive termination.
Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute remains unresolved, it shall be submitted to binding arbitration administered in accordance with the rules of the applicable jurisdiction. Each party bears its own costs in any arbitration proceeding unless otherwise determined by the arbitrator.
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Botaroid operates, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts in that jurisdiction for any legal proceedings arising from these Terms.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. For material changes that adversely affect your use, we will provide at least 30 days' notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, labor disputes, government actions, internet outages, or third-party service failures. The affected party must provide prompt notice and use reasonable efforts to mitigate the impact.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with the Privacy Policy and any applicable service agreements or order forms, constitute the entire agreement between the parties concerning the Services and supersede all prior or contemporaneous agreements, whether written or oral.
